1. Acceptance and Eligibility

1.1 Age Requirement

You must be at least 18 years of age to access or use the Service. By agreeing to these Terms, you represent and warrant that you are 18 years of age or older.

1.2 Legal Capacity

You represent that you have the full legal capacity and authority to enter into this agreement, and that doing so does not violate any applicable law or any agreement to which you are a party.

1.3 Jurisdiction

The Service is operated from Alberta, Canada. You are solely responsible for ensuring your use of the Service complies with all laws applicable in your jurisdiction. Access to the Service from jurisdictions where cryptocurrency-related investment communities are restricted or prohibited is at your own risk and is not authorized by Gold Squad Inc.

2. Nature of the Service

2.1 Educational and Informational Community

The GS Crypto Investor Group is a private, paid membership community providing general cryptocurrency market information, analysis, discussion, trading ideas, and educational content. The Service is for informational and educational purposes ONLY.

2.2 No Guaranteed Results

No representation, warranty, or guarantee is made, expressed, or implied regarding any specific outcome, profit, return, or financial result from using the Service or acting on any information shared within the community. Past performance of any discussed asset, strategy, or trade is not indicative of future results.

2.3 High Risk Disclosure

Cryptocurrency markets are highly volatile and speculative. You acknowledge that trading or investing in cryptocurrencies involves substantial risk of loss, including the possible loss of the entire amount you invest. You assume full and sole responsibility for any investment decisions you make.

3. Membership and Payment Terms

3.1 Membership Tiers

Gold Squad Inc. may offer multiple membership tiers, each with distinct pricing, features, and access levels. The specific features and pricing applicable to your membership are as described at the time of your subscription and are subject to change with reasonable notice.

3.2 Subscription Billing

Membership fees are billed on a recurring basis (monthly, quarterly, or annually, as selected at checkout). By providing your payment information, you authorize Gold Squad Inc. or its designated payment processor to charge your payment method on the applicable billing cycle automatically until your membership is cancelled.

3.3 Price Changes

Gold Squad Inc. reserves the right to modify membership pricing at any time. Existing members will be given no less than 30 days written notice (via email to the address on file) prior to any price change taking effect on their subscription. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

3.4 Grandfathered Pricing

Where Gold Squad Inc. has expressly communicated grandfathered or locked-in pricing to a member in writing, such pricing applies only to continuous, uninterrupted subscriptions. Cancellation of a grandfathered membership forfeits the grandfathered rate permanently. Reinstatement will be at the then-current prevailing rate.

3.5 Refund Policy

All membership fees are non-refundable except where required by applicable Alberta consumer protection law. If you cancel your membership, you will retain access to the Service through the end of your then-current paid billing period. No partial refunds are issued for unused portions of a billing period.

For clarity, the Consumer Protection Act, SA 2000, c C-26.3 (Alberta) provides certain cancellation rights for direct sales contracts. Where those rights apply and cannot be waived, they are not limited by this clause.

3.6 Failed Payments

If a payment fails, Gold Squad Inc. may suspend or terminate your access to the Service without notice until the outstanding balance is resolved. You remain responsible for any fees incurred prior to suspension.

4. Intellectual Property

4.1 Ownership

All content made available through the Service, including but not limited to written analyses, trade ideas, charts, videos, graphics, course materials, community posts authored by Gold Squad Inc. or its representatives, logos, branding, and the "Gold Squad" and "GS Crypto Investor Group" marks, are the exclusive intellectual property of Gold Squad Inc. or its licensors, and are protected under applicable Canadian copyright, trademark, and intellectual property laws.

4.2 Limited License to Members

Gold Squad Inc. grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service and its content solely for your own personal, non-commercial use during the term of your active membership.

4.3 Prohibited Uses

You may not: (a) reproduce, distribute, republish, resell, or publicly display any content from the Service; (b) screen-record, copy, or screenshot and redistribute content to any third party or platform; (c) use any content from the Service to build a competing product or service; or (d) share your account credentials or membership access with any other person. Violations may result in immediate termination and legal action.

5. Member Conduct

5.1 Community Standards

As a member of the Gold Squad community, you agree to engage respectfully and constructively. You may not: (a) harass, threaten, or demean other members; (b) post spam, unsolicited promotions, or affiliate links without express written consent of Gold Squad Inc.; (c) share false, misleading, or manipulative market information; (d) engage in any conduct that could expose Gold Squad Inc. to legal liability; or (e) promote or facilitate any illegal activity.

5.2 No Coordinated Market Manipulation

You expressly agree that you will not use the Service to coordinate or facilitate any form of market manipulation, pump-and-dump schemes, wash trading, or any other activity prohibited under applicable securities or commodities laws. Gold Squad Inc. cooperates fully with regulatory and law enforcement inquiries.

5.3 Enforcement

Gold Squad Inc. reserves the right, at its sole discretion, to remove any content, warn, suspend, or permanently terminate the membership of any member who violates these Terms or whose conduct Gold Squad Inc. deems harmful to the community, without refund or further obligation.

6. Disclaimers and Limitation of Liability

You agree to indemnify, defend, and hold harmless Gold Squad Inc. and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) any investment or trading decision you make; or (d) your violation of any third-party rights.

7. Privacy and Personal Information

7.1 PIPEDA and PIPA Compliance

Gold Squad Inc. collects, uses, and discloses personal information in accordance with Alberta's Personal Information Protection Act, SA 2003, c P-6.5 ("PIPA") and, where applicable, the federal Personal Information Protection and Electronic Documents Act ("PIPEDA"). Our Privacy Policy, available upon request, is incorporated into these Terms by reference.

7.2 Data Collected

We collect information you provide during registration and payment (name, email, billing information), usage data, and communications within the community platform. We do not sell your personal information to third parties.

7.3 Payment Processing

Payment information is processed by third-party payment processors who maintain their own privacy and security standards. Gold Squad Inc. does not store full credit card or banking information on its systems.

8. Third-Party Platforms and Links

The Service may be hosted on or integrated with third-party platforms (including but not limited to Discord, Telegram, Skool, or similar community platforms). Your use of those platforms is also subject to their respective terms of service. Gold Squad Inc. is not responsible for the policies, content, or conduct of third-party platforms. Links or references to external websites or resources are provided for convenience and do not constitute endorsement.

9. Term and Termination

9.1 Duration

These Terms remain in effect for the duration of your active membership and continue to apply to any obligations surviving termination.

9.2 Termination by Member

You may cancel your membership at any time through the account management portal or by providing written notice to Gold Squad Inc. Cancellation takes effect at the end of the current billing period.

9.3 Termination by Gold Squad Inc.

Gold Squad Inc. may terminate your membership immediately and without notice if you breach these Terms, engage in fraudulent activity, or for any other reason at its sole discretion. In the event of termination for cause, no refund will be issued.

9.4 Effect of Termination

Upon termination, your license to access the Service immediately ends. Sections 4 (Intellectual Property), 6 (Disclaimers and Limitation of Liability), 7 (Privacy), 10 (Dispute Resolution), and 11 (General Provisions) survive termination.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 Dispute Process

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, either party may pursue resolution through the courts of competent jurisdiction located in Alberta, Canada.

10.3 Class Action Waiver

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Gold Squad Inc.

10.4 Limitation Period

Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year of the date on which the claimant knew or ought to have known of the circumstances giving rise to the claim, to the maximum extent permitted by applicable law.

11. General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and Gold Squad Inc. with respect to the Service and supersede all prior agreements, representations, and understandings.

11.2 Amendments

Gold Squad Inc. reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address on file or through a notice within the community platform no less than 14 days before the changes take effect. Your continued use of the Service after the effective date of amended Terms constitutes acceptance.

11.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.4 No Waiver

Failure by Gold Squad Inc. to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

11.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Gold Squad Inc. Gold Squad Inc. may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.

11.6 Force Majeure

Gold Squad Inc. will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, or platform disruptions.
